Terms of Use Agreement 
This Terms of Use Agreement (“Agreement”) specifies the contractual conditions between you (“Users”) and Harmonic Drive Systems Inc. (“Company”) for license of the software named “Online Gearhead Selection Program” (“Program”).


    1. Use of the Program
    The Company provides the Program as a service and Users may use the Program for the sole purpose of aiding in the selection of the Company’s products (“Purpose) on the condition that they agree to this Terms of Use Agreement. Users are required to provide other necessary hardware, software and means of communication at their own expense and liability. Users may not use the Program for anything other than the Purpose.


    2. Acceptance of Agreement
    By using the Program you are agreeing to comply with and be bound by this Terms of Use Agreement.


    3. Disclaimer
    THE INFORMATION FROM OR THROUGH THE PROGRAM ARE PROVIDED “AS-IS,” “AS AVAILABLE,” AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. THE COMPANY AND ITS AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE. IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, THE COMPANY AND ITS AFFILIATED PARTIES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NEGATION OF DAMAGES SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT FOR THE BASIS OF THIS AGREEMENT BETWEEN THE COMPANY AND YOU. THIS PROGRAM WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE PROGRAM SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT.


    4. Selection of Product
    The selection of a product by use of the Program is determined based upon data provided by Users, and the product’s operational efficiency, operating environment and lubrication condition are not taken into consideration in the Program. In addition, the Program does not guarantee the positioning accuracy or life of the Company’s product. The applicable product warranty is stated in the product brochures and technical materials provided by the Company.

    When placing a purchase order, the User is required to inform the Company that the product was selected using the Program.
    It is necessary for the User to verify that the drawing dimensions of the selected product matches the dimensions required to properly mount the motor and gearhead.



    5. Copyright
    The content, data, program, organization, graphics, design, audio, animation, video and other matters related to the Program are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by Users of any such matter or any part of the Program, except as allowed by Section 2, is strictly prohibited. Users do not acquire ownership rights to any content, document or other materials viewed through the Program. The posting of information or materials in the Program or on the website does not constitute a waiver of any right in such information and materials.


    6. Governing Law and Jurisdiction
    This Agreement shall be treated as though it were executed and performed in Tokyo, Japan and shall be governed by and construed in accordance with the laws Japan (without regard to conflict of law principles). All legal proceedings arising out of or in connection with this Agreement shall be brought solely in Tokyo District Court. You expressly submit to the exclusive jurisdiction of said courts and consents to extra-territorial service of process. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. The Company’s failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.


    7. Change of Content
    The Company reserves the right in its sole discretion to change the Program or suspend the license to use the Program without giving any advance notice to Users.


    8. Revisions to the Agreement
    This Agreement may be amended at any time by the Company without specific notice to Users. The latest revision of the Agreement will be posted on this website, and you should review the Agreement prior to each use of the Program.

使用规约  
本规约规定了就株式会社Harmonic Drive Systems（以下简称本公司）所有软件“齿轮箱产品选型程序”（以下简称本程序）的使用承诺的使用人员与本公司之间约定条件。


    1. 本程序使用方法
    相关人员在同意本规约内容前提下，仅限于以探讨采购本公司产品（以下简称本目的）为目的，可通过使用人员自有电脑从本公司网站使用本程序。使用人员需自备需要设备、软件、通信手段等并对其负责。使用人员不得将本程序用以本目的以外之用途。


    2. 同意使用规约
    使用本程序时，默认已接受本规约内容。


    3. 免责事项
    本程序所记述内容及所提供各种服务，制作时已尽力完善，但不能保证所提供内容之正确性、安全性、适用条件的妥帖性。另，本公司对因使用本程序导致的损害、损失等（含直接、间接、附带性等全部情况），不承担任何责任。


    4. 产品选型
    通过本程序进行的产品选型，其结果为基于所提供驱动条件下是否可以运行的理论计算结果，未包含对运行效率、运行环境、润滑条件等的考量。另，本程序对我公司产品的定位精度及滚珠轴承寿命等不负有保证意义。本公司产品的相关保证条件，请参考我公司产品目录及技术资料所记载数据。

    此外，本程序使用方同意：在实际购入本公司产品时，不可仅凭本程序进行产品选型，必须事先与我公司联系方可开展后续活动。
    就与客户自行选型的电动机的匹配问题，请务必按照交货规格图纸进行确认。



    5. 著作权
    本程序相关信息、数据、程序等的著作权，以及其它所有法律权利，属于我公司及向我公司提供各项专利的其它公司所有。受著作权法及其它相关法律以及国际条约保护。未经许可不得将本程序部分或全部用于其它网页链接等、本规约中未明确许可的行为。


    6. 依据法律・裁判管辖
    本规约依据日本法律解释。且，不论何种情况下均不以适用其它通则法的其它国家法律为法律依据。此外，围绕本规约发生的争议，以东京地方裁判所为一审指定裁判所。


    7. 内容变更
    本公司可根据自身判断，在不告知使用人的情况下，更改本程序或中止本程序的使用承诺。


    8. 规约修改
    本公司可根据自身判断，在不告知使用人的情况下，更改本规约。更改后的作为本规约的使用许诺条件适用。

본 규약은 주식회사 하모닉드라이브시스템즈 (이하, 당사라고 한다.)가 권리를 소유하는 소프트웨어 「기어헤드 형번선정 프로그램」 (이하, 본 프로그램이라고 한다.)의 사용 허락에 관한 이용자와 당사의 계약 조건을 정한 것입니다.


    1. 본 프로그램의 이용방법
    이용자는 본 규약에 동의하는 것을 조건으로 당사 제품의 구입 검토의 목적에 한해(이하, 본 목적이다라고 한다.) 본 프로그램을 당사 웹 사이트에서 이용자의 컴퓨터로 이용하실 수 있습니다. 이용자는 자신의 책임과 비용으로 필요기기나 소프트웨어, 통신수단을 준비해야 할 필요가 있습니다. 이용자는 본 목적 이외에 본 프로그램을 이용할 수 없습니다.


    2. 이용규약의 동의
    본 프로그램을 이용하였을 경우, 본 규약에 동의한 것으로 간주됩니다.


    3. 면책 사항
    본 프로그램상의 컨텐츠 및 각종 서비스는 세심하게 주의하여 작성하였으나, 제공하는 정보의 정확성, 안전성, 사용조건에의 적합성 등에 대해서 보증하는 것이 아닙니다. 또한, 당사는 본 프로그램을 사용하여 발생하는 어떠한 손해나 손실(직접적, 간접적, 부수적인 것을 포함한다.)에 대하여 일절의 책임을 지지 않습니다.


    4. 제품의 선정
    본 프로그램에 의한 제품의 선정은 지정 구동조건에서의 동작가부를 이론상 계산하는 것이며, 운전효율, 운전환경, 윤활조건에 대해서는 고려하지 않았으며, 또한, 본 프로그램에 의해 당사제품의 위치결정정도나 베어링 수명을 보증하는 것이 아닙니다. 당사제품의 보증 조건에 대해서는 당사제품의 카탈로그 및 기술자료에 내용과 같습니다.

    또한, 이용자가 당사제품을 구입하실 경우, 본 프로그램에 의한 제품의 선정만을 따르지 않고, 반드시 당사에 연락을 주시고, 이용자는 동의하는 것으로 합니다.
    고객에서 선정된 모터와의 매칭은 반드시 관련 사양도에서 확인을 부탁드립니다.



    5. 저작권
    본 프로그램에 관계되는 정보, 데이터, 프로그램 등의 저작권 및 기타 모든 법적 권리는 당사 또는, 당사에 라이센스를 제공하고 있는 각 회사에 귀속하고, 저작권법 기타의 법률 및 국제 조약에 의해 보호되고 있습니다. 이용자는 본 프로그램의 일부 또는 모두를 무단으로 다른 사이트에 링크하는 등 본 프로그램에 관한 본 규약으로 명시하여 허락되는 이외의 행위를 할 수는 없습니다.


    6. 준거법・재판관할
    본 규약은 일본국법에 의해 해석되는 것으로 합니다. 단, 법의 적용에 관한 통칙법에 의한 타국법의 준거법으로의 지정은 어떠한 경우도 행하여지지 않는 것으로 합니다. 또한, 본 규약에 관한 분쟁은 도쿄(東京)지방법원을 제1심의 전속합의관할재판소로 합니다.


    7. 내용의 변경
    당사는 당사가 필요하다고 판단되는 경우, 이용자에게 예고 없이 본 프로그램의 변경 또는 본 프로그램의 사용허락의 중지를 행할 수 있습니다.


    8. 규약의 개정
    당사는 당사가 필요하다고 판단되는 경우, 이용자에게 예고 없이 본 규약을 개정하고 개정 후의 본 규약이 이후의 본 프로그램의 사용허락조건으로 적용됩니다.
